QnR Group, as part of its strategy for targeted investments in high value-added, cutting-edge technologies, announces that it has signed a definitive agreement for the acquisition of a 51% equity stake in MTIS S.A.

This acquisition follows a particularly successful growth track record of QnR Group in Greece and internationally, which includes the completion of three strategic acquisitions in the fields of Artificial Intelligence, Cybersecurity and SAP Business One, as well as the recent successful Share Capital Increase, oversubscribed by 118%, further strengthening the Group’s financial and investment base.

The total consideration for the transaction amounts to €2,663,958 and will be paid in two (2) equal instalments of €1,331,979 each, with the first payable upon signing of the agreement and the second in 2027, following the publication of the company’s financial results.

Strategic significance of the investment – focus on Dual-Use & Defence-Tech

MTIS is an internationally recognised provider of advanced technological solutions with a strong footprint in maritime technology and defence-tech, offering dual-use applications that serve both commercial and operational / governmental needs.

The company has established presence and expertise in areas such as defence and security, maritime surveillance and situational awareness, civil protection, environmental monitoring and critical infrastructure.

A core element of its technology offering is i-Platform©, a unified digital platform with modular architecture and an open structure, integrating IoT, Artificial Intelligence and Big Data technologies. i-Platform© supports secure real-time remote monitoring, predictive analytics, role-based user environments, alerting and KPI mechanisms, as well as advanced reporting and Business Intelligence capabilities, meeting critical dual-use / defence-tech requirements, such as resilience, interoperability, reliability and secure data management.

The investment further strengthens QnR Group’s position in marine-related, high-reliability and dual-use technologies, creating prospects for meaningful technological and commercial synergies in projects that combine sensors, data platforms, analytics and artificial intelligence, with applications in both the private and public sectors.

Dr. Panagiotis Paschalakis, Chief Executive Officer of QnR, stated: “Our participation in MTIS constitutes a strategic investment in high-reliability technology, with a strong dual-use orientation and a clear defence-tech footprint. Shipping, as one of the most critical sectors of the global economy, requires solutions with high resilience and operational readiness. Through MTIS, we strengthen our ability to deliver integrated solutions that connect maritime technology with defence and security applications, opening new horizons for growth and international expansion.”

Mr. Georgios Marinakis, General Manager of MTIS, also stated:

“QnR’s strategic participation in MTIS represents a significant milestone for our company and confirms the value of our technology platform in critical application areas. Together with QnR, we are creating a strong synergy that combines our technological innovation with the experience and vision of a Group that is a leader in digital transformation and high-reliability solutions.

Through this partnership, we gain access to resources, expertise and networks that will accelerate our growth across both the commercial and defence sectors, opening new markets and creating substantial value for our customers, our shareholders and the broader maritime and defence technology ecosystem.”
